John's Background as a Business Lawyer:

John has formed hundreds of corporations and limited liability companies ("LLCs").  This work typically involves filing articles of incorporation/organization with the North Carolina Secretary of State and drafting bylaws, consent forms, share certificates, shareholder agreements and operating agreements.  It also involves explaining to clients the tax consequences of their choices of business entity among sole proprietorship, partnership (general, limited), LLC, and corporation (C, S, nonprofit, professional, etc.).

John spent almost three years early in his career working in the legal department of a regional employee benefits consulting company advising hundreds of business entities and drafting plan documents for pension, profit-sharing, 401(k) and other retirement plans, and employee health benefit plans.

To assist clients in their ongoing business operations, he has helped draft agreements for use with their customers, vendors and employees.

John has also occasionally represented clients before tax authorities, including the Internal Revenue Service, North Carolina Department of Revenue, and county property tax departments.
